The Director, Senior Associate General Counsel is responsible for providing legal advice and counsel at the executive level. This position assists in the strategic planning, leadership and management of the Legal Division as an active member of the Chief Legal Officers leadership team. The Director Senior Associate General Counsel has a meaningful impact on Cambias operating units and the manner in which they conduct business.

General Functions and Outcomes

  • Act as a key strategic legal advisor, counselor and business partner to executive leadership and senior management teams.
  • Act as lead attorney to ensure the compliance of Cambia insurance products with health insurance and health plan laws, regulations, and other applicable guidance.
  • Has direct oversight, supervision and reporting responsibility for attorneys, paralegals and other staff.
  • Participates in the leadership of the Legal Department, and is engaged in the planning, management, administration, direction and decision-making of the Legal Department.
  • Performs a variety of complex or specialized legal activities in accordance with established standards to protect the organizations business interest and ensure activities comply with all relevant law and regulations.
  • Anticipates internal and/or external business challenges; recommends and implements solutions to meet business objectives.
  • Contributes to the development of functional strategy; leads project teams to achieve milestones and objectives.
  • Work collaboratively on cross-functional teams.
  • Autonomously identifies and solves unique and complex problems that have broad impacts on the business.
  • Reviews and/or drafts new or modified policies, contracts, product offerings/filings and other business/legal documents. Manages, or has primary responsibility for, significant matters, transactions or disputes with minimal supervision as requested by the Chief Legal Officer.
  • Analyzes disputed cases or other investigations, determines the legal position of the corporation, responds to threatening or demand letters and, when appropriate, negotiates with attorneys representing claimants within authority limits set by the Chief Legal Officer.
  • Develops and maintains professional competence.
  • Demonstrates increasing levels of independence in performing responsibilities.
  • Advanced knowledge of general corporate, health plan, and health insurance laws, regulations, and compliance standards, including those for HIPAA, ERISA, the ACA, and Mental Health Parity.
  • Understanding of laws applying to both fully insured and self-funded plans in the group and individual markets, including on- and off-exchange.
  • Experience in developing commercial health plans, including major medical and high deductible health plans.
  • Experience in working with cross-functional teams to develop innovative and consumer-focused products
  • Consumer-focused approach to problem solving that balances mitigation of legal risks with operational demands
  • Demonstrated ability to establish and maintain effective working relationships with diverse groups of partners and stakeholders.
  • Established track record of confidently interacting with senior executives and successfully influencing such executives regarding the approach to, and resolution of, legal matters.
  • Demonstrated excellence in all forms of communication, including verbal, written and presentation.
  • Ability to develop coalitions with key partners to advance specific business goals.
  • Ability to negotiate and resolve complex and sensitive issues with diplomacy and persuasiveness.
  • Demonstrated maturing, flexibility and capacity to navigate a complex structure and respond to shifting fluid priorities.
  • Demonstrated ability to analyze proposed policy, legislation and/or regulations to determine impacts on the business.
  • Knowledge of state and federal corporate and insurance regulations and compliance standards.
  • Demonstrated ability to provide thorough analysis and recommendations on complex legal issues.
  • Ability to think strategically while implementing and executing on initiatives and appropriately influencing outcomes.

Normally to be proficient in the competencies listed above

Director, Senior Associate General Counsel must be a graduate of an accredited law school and licensed to practice law in a jurisdiction within the United States. Must be willing to become a member of at least one of the states in which Cambia operates. Have and have at least 15 years of experience as an attorney in corporate, government or law firm or the equivalent legal experience.
